Maintenance Agreement.

This Maintenance Services Agreement ("Agreement") is made between Pinnacle Web Studio ("Pinnacle," "Provider") and the subscribing business or individual ("Client"). By activating a maintenance plan, Client agrees to be bound by this Agreement and Pinnacle's Terms & Conditions.

1. Term & Renewal

This Agreement begins on the website launch date (or plan activation date) and continues for an initial term of 12 months. After the initial term, the Agreement automatically renews month-to-month until either party provides 30 days written notice of cancellation to hello@pinnacleweb.studio.

2.2 What Is Included

  • Platform updates as described in the selected plan
  • Coordination with hosting provider for technical issues within our control
  • Access to Pinnacle via email for questions covered by the plan

2.3 What Is NOT Included

The following are expressly excluded from all maintenance plans:

  • Major redesigns, new pages, or new features beyond included content update hours
  • Custom development or coding work
  • Content creation, copywriting, or graphic design
  • Malware removal for issues that existed before plan activation
  • Third-party software license costs or platform subscription fees
  • Issues caused by Client or unauthorized third parties making changes to the website
  • Domain registration or renewal fees
  • E-commerce transaction or payment processor fees
  • Search engine ranking guarantees of any kind

3. Fees & Payment

Monthly fees are as stated in the selected plan. The first payment is due on plan activation or website launch date. All subsequent payments are due on the 1st of each month and will be automatically billed to the payment method on file.

Late payments outstanding after 10 days will accrue a late fee of 1.5% per month (18% annually). Pinnacle reserves the right to suspend maintenance services — including any Pinnacle-managed hosting — for non-payment. Services suspended for non-payment will be reinstated only after all overdue amounts plus a $50 reinstatement fee are paid in full.

All monthly fees are non-refundable. There is no prorating for mid-month cancellations.

4. Photography Image Protection

All professional photographs taken by Pinnacle Web Studio and incorporated into Client's website are and remain the exclusive copyrighted property of Pinnacle Web Studio. Maintenance Clients receive a limited, non-exclusive license to display photographs on their website while an active Maintenance Agreement is in force, subject to the following:

  • Images may not be copied, downloaded, or redistributed to any third party without prior written consent and payment of applicable licensing fees
  • Images may not be used on any website other than the site managed under this Agreement
  • Images may not be used for any business other than Client's business
  • Any unauthorized commercial use of images will be billed at $500 per image per use, plus reasonable legal fees

Upon termination of this Agreement, Pinnacle will provide a 30-day window for Client to migrate to their own hosting and retain image use rights under the standalone Photography Services license terms.

5. Client Responsibilities

Client agrees to:

  • Keep payment current at all times
  • Provide timely access, credentials, and approvals when requested by Pinnacle for maintenance tasks
  • Notify Pinnacle before making or authorizing any changes to the website
  • Not allow unauthorized persons to access the website's admin panel
  • Ensure all content provided for publication does not violate any laws or third-party rights

Any damage to the website caused by Client or unauthorized third parties will be billed at Pinnacle's current hourly rate of $85/hour and is not covered under the maintenance plan.

6. Response Times

Pinnacle will make good-faith efforts to respond to maintenance-related communications within 1–2 business days. Priority support (Premium plan) will receive responses within 1 business day. Response times are not guaranteed and may be longer due to high volume, holidays, or personal emergencies.

Business days are Monday through Friday, excluding federal and Minnesota state holidays. Pinnacle is a sole-proprietor business; availability may be limited during illness or pre-announced planned absences. Pinnacle will provide reasonable advance notice of extended absences.

7. Hosting Arrangements

If Pinnacle manages hosting on behalf of Client, the website is hosted under Pinnacle's account with a third-party hosting provider. Pinnacle does not guarantee 100% uptime and is not responsible for hosting provider outages beyond Pinnacle's control.

In the event Client terminates this Agreement, Pinnacle will facilitate migration of the website to Client's own hosting account within 30 days of the termination date, provided all outstanding balances are paid in full.

8. Termination

8.1 Termination by Client

Client may terminate this Agreement with 30 days written notice sent to hello@pinnacleweb.studio. Client remains responsible for all fees through the end of the 30-day notice period. No refund of prepaid fees will be issued.

8.2 Termination by Pinnacle

Pinnacle may terminate this Agreement immediately upon written notice for: (a) Client's failure to pay any amount due within 15 days; (b) abusive or threatening conduct toward Pinnacle; (c) Client's breach of any material term of this Agreement; or (d) Pinnacle's decision to discontinue maintenance services generally, with 60 days notice.

8.3 Effect of Termination

Upon termination: (a) Client's access to Pinnacle's maintenance services ceases; (b) Pinnacle will provide a 30-day transition window to facilitate website file migration; (c) Client's license to use Pinnacle-owned photography under this Agreement terminates.

9. Limitation of Liability

Pinnacle's total liability under this Agreement shall not exceed the total fees paid by Client in the 12 months preceding the claim. Pinnacle is not liable for: lost profits; data loss; loss of business due to website downtime; search engine ranking changes; or any indirect, incidental, or consequential damages. Maintenance services are provided "as is." Pinnacle makes no guarantee that the website will never be hacked, defaced, or experience downtime.

10. Governing Law

This Agreement is governed by the laws of the State of Minnesota. Any disputes shall be brought in Scott County, Minnesota.

11. Entire Agreement

This Maintenance Services Agreement, together with Pinnacle's Terms & Conditions and Photography Services Terms (where applicable), constitutes the entire agreement between the parties with respect to maintenance services.
